General Terms and Conditions (GTC) for the service sector

These general business conditions are an integral part of all contracts that Reiko GmbH für Treuhandservice has with their customers. Agreement or parts thereof, which deviate from these GTC or are in conflict with them, are valid only when they are lawfully in writing and signed by the parties concerned.


Renumeration rates
In matters of rates for the applicable fees the current price list of Reiko GmbH für Treuhandservice shall be used. If the client explicitly or by setting a short deadline requires that the work is performed outside normal office hours (ie between 6.00 p.m. - 8.00 a.m., on weekends and public holidays under the labor code in force for the seat of Reiko GmbH für Treuhandservice, the agreed hourly fee rates are calculated by using the 1.5 factor.


Costs

In matters of cost volume the current price list of Reiko GmbH für Treuhandservice is considered as valid. Effective expenses are calculated according to costs.

Clearing / payment

As a general rule the clearing of incremental costs occurs monthly.  Reiko GmbH für Treuhandservice reserves the right to demand prepayments and advances. Hourly subscriptions are always payable in advance. If the invoice if not stated otherwise, the net amounts for the benefit of Reiko GmbH für Treuhandservice must be paid within 10 days. They must be transferred to the appropriate bank account, using the attached blank form in each case as a proof of payment. Starting from the second payment reminder, reminder charges are calculated. Also, the interest rate of 5% from the date of payment is then claimed. Reservations regarding invoices should be filed within 10 days of the payment period, otherwise the invoice is considered accepted. Apparent errors in the bill are excluded.


Changing the GTC

Changing these General Terms and Conditions is possible only by Reiko GmbH für Treuhandservice. Individual agreements that deviate from the GTC must be in writing and must be legally signed by the parties concerned.

Liability claims

Reiko GmbH für Treuhandservice is liable for client’s material damages and caused to a person within the company’s liability. However, it is not in any way liable for any indirect, incidental, simultaneous, beyond the damage caused, consequential or special damages or losses, including the loss of use, loss of profit, customers or savings, and the results of data loss and database. In particular, it is not responsible for damages resulting from the fortuitous events of any kind as a consequence of work stoppage due to accident, illness or other unpredictable critical events.

Confidentiality clause

Reiko GmbH für Treuhandservice is committed to protecting concealment from third parties of all processes, company secrets, and other facts that are known to them from a client or about the client in relation with Reiko, even after completing the order and at the end or termination of the contract. Exceptions are individuals and institutions specified by the customer, with whom information shall be exchanged.


Final Provisions

These General Terms and Conditions and individual arrangements are subject to Swiss law. The place of jurisdiction is Aarau.

General Terms and Conditions for training

These GTC apply to all courses and business courses officially timetabled by Reiko GmbH für Treuhandservice. For courses timetabled by other course organizers the Terms and Conditions of each respective organization apply. Agreement or parts thereof, which deviate from these Terms and Conditions or are in conflict with them, are valid only when they are lawfully in writing and signed by the parties concerned.

Participation fee

The prices of courses apply in accordance with the official announcement. If the announcement of the course is not otherwise specified, the cost of the course includes possible course documentation, but additional educational and work resources are not included in the price according to the notice.


Company Courses
For in-house courses flat-rate arrangements may be determined, depending on the number of participants. Additional expenses, such as personal development and adaptation of the course content, transportation, infrastructure preparation, possible food and lodging costs, etc. will be charged according to individual expenditures as agreed.


Clearing / payment

The participation fees and possible additional costs for courses will be entered into the bill approximately 30 days before the first day of the course, payable upon receipt. The bill is also a confirmation that the course will be conducted. Amounts in favor of Reiko GmbH für Treuhandservice should be transferred to the appropriate bank account, using the attached blank form in each case as a proof of payment. Starting from the second payment reminder, reminder charges are calculated. Alos, the interest rate of 5% from the date of payment is then claimed.
Participants who do not pay a bill before the start of the course, will be excluded from the course. Fees must be paid anyway and will be collected.

Registration

The number of participants is limited. Registrations will be processed in order of their submission. Written notifications of attendance submitted by mail or fax are binding. Submissions by e-mail or the internet are also binding, but they will re-confirmed by Reiko GmbH für Treuhandservice, otherwise the place is not secured.

Cancellation
In case of a cancellation before sending confirmation of attendance / bill a written resignation is acceptable at any time without financial consequences. We are happy to accept substitute participants, but please provide relevant personal information.

Organization disclaimer

Reiko GmbH für Treuhandservice reserves the right to cancel or postpone the course in case of an insufficient number of participants or course lecturer’s obstacles. The already submitted participation fees will be fully refunded. Additional indemnification will not be accepted. There is no reimbursement for services already rendered and incremental costs concerning business courses.

Reiko GmbH für Treuhandservice is responsible for client’s material damages and caused to a person within the company’s liability. However, it is not in any way responsible for any indirect, incidental, simultaneous, beyond the damage caused, consequential or special damages or losses, the loss of use, loss of profit, customers or savings, including the results of data loss and database. Reiko GmbH für Treuhandservice also assumes no liability for damages of any kind that are experienced by the participant brought materials, even when they serve the objectives of the course or their use is necessary for the purpose of the course. For the use of software the software manufacturer’s liability information is applicable. In particular, it is not responsible for damages resulting from the fortuitous events of any kind as a consequence of work stoppage due to accident, illness or other unpredictable critical events.

Confidentiality clause

Reiko GmbH für Treuhandservice and the course lecturers hired by Reiko GmbH für Treuhandservice are committed to protecting and concealment from third parties of all processes, company secrets, and other facts that are known to them from participants or about them.  At the same time individual students are committed to protecting and concealments from third parties of all processes, company secrets, and other facts, which they are familiar with concerning other participants of the course and lecturers.
